MetaFuser Vendor/Company Terms and Conditions

1. Introduction
Welcome to MetaFuser. These Terms and Conditions (“Terms”) govern the relationship between MetaFuser (“Company,” “we,” “our,” or “us”) and vendors or partner companies (“Vendor,” “you”). By engaging with MetaFuser's services, you agree to comply with and be bound by these Terms.
2. Scope of Agreement
These Terms apply to all products, services, and partnerships facilitated through MetaFuser, including but not limited to API services, AI-powered messaging tools, and communication management systems. MetaFuser provides a SaaS solution based on WhatsApp Cloud API to enhance business communication and automation.
3. Vendor Obligations
Vendors must provide accurate, up-to-date, and complete information.
Vendors agree to comply with all applicable laws, regulations, and industry standards.
Vendors shall not misuse MetaFuser’s platform for unauthorized or illegal purposes.
4. Payment and Fees
Payment terms shall be mutually agreed upon and specified in individual contracts.
Vendors acknowledge that there is a separate charge for messaging as per Meta's pricing policies, which may vary based on usage.
Late payments may incur penalties as outlined in the contract.
All fees are exclusive of applicable taxes unless otherwise stated.
5. Confidentiality
Both parties agree to maintain the confidentiality of sensitive information exchanged during the partnership.
Confidential information shall not be disclosed to third parties without prior written consent.
6. Intellectual Property
MetaFuser retains all rights, titles, and interests in its proprietary technology, software, and services.
Vendors are granted a limited, non-exclusive, non-transferable license to use MetaFuser’s services as necessary for business operations.
7. Termination
MetaFuser reserves the right to terminate the agreement immediately in the event of a breach of these Terms.
Upon termination, all outstanding payments must be settled within 15 days.
8. Limitation of Liability
MetaFuser shall not be liable for indirect, incidental, or consequential damages.
Our total liability under this agreement shall not exceed the amount paid by the Vendor in the preceding 12 months.
9. Dispute Resolution
Any disputes arising out of or relating to these Terms shall be resolved through arbitration in accordance with the rules of the Arbitration and Conciliation Act, 1996 (India).
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India.
11. Amendments
MetaFuser reserves the right to update or modify these Terms at any time.
